  • Operational Setup: The transaction includes AML/CTF policies and compliance documentation prepared in a bank/PSP-ready format, existing partner setups including a crypto account and selected Asian payment methods, and preliminary arrangements for safeguarding, operational banking, and Banking-as-a-Service virtual IBAN infrastructure.
  • Transaction Structure: Share sale including the MSB entity, website, and payment gateway infrastructure. The commercial structure is approximately EUR 210,000, with milestone-based payments covering NDA, due diligence (FINTRAC verification and gateway demonstration), LOI, closing, regulatory updates, and technical transfer. Source-code licensing rights are activated following completion of the final deferred payment stage.
  • Transition & Support: Corporate and regulatory transition assistance is included for a limited period, including responses to counterparties and regulators, alongside an initial technical handover and deployment guidance. Optional operational services, integrations, and additional account openings may be provided under separate agreements if required.
