EN0371 Australian VASP and IRD

EN#0371 – Australian VASP and IRD, ready to operate, regulated by AUSTRAC, for sale

An opportunity to acquire an Australian entity registered with the Australian Transaction Reports and Analysis Centre (AUSTRAC) as a Virtual Asset Service Provider (VASP) and Independent Remittance Dealer (IRD). The entity has been structured for fiat-to-crypto and crypto-to-fiat conversion, digital-asset exchange, and stablecoin-powered outbound remittance services for retail and institutional clients.

Key Highlights:

  • Registration and Permissions: The entity holds two current AUSTRAC registrations: a Virtual Asset Service Provider (VASP) registration valid until May 2028 and an Independent Remittance Dealer (IRD) registration valid until March 2029. Both registrations are renewable. The AUSTRAC register extract and precise designated services may be provided to qualified buyers under a non-disclosure agreement.
  • Business Model: The entity is suitable for operating an Australian on-and-off-ramp platform, converting AUD into digital assets and vice versa, and facilitating outbound remittance using stablecoins. The proposed services may be provided to retail and institutional clients, subject to the applicable regulatory, compliance, and operational requirements.
  • Regulatory Standing: The entity has no enforcement actions, registration conditions, adverse findings, unresolved regulatory correspondence or other known regulatory issues. Both AUSTRAC registrations are current and maintained in good standing.
  • Operational Status:  The entity is registered and operationally ready but remains pre-revenue, with no clients or transactions to date. This provides a purchaser with an established structure without an inherited client book or legacy transaction history.
  • Banking Infrastructure: The entity maintains three active business accounts with Australian banks. The names of the banking institutions may be disclosed to qualified buyers under an NDA. Corporate accounts are established with major Australian and international digital-asset exchanges.
  • Compliance Framework: The entity has a full AML/CTF program, KYC and customer due-diligence procedures, and a transaction-monitoring and regulatory-reporting framework aligned with AUSTRAC requirements. These arrangements should be reviewed and adapted following acquisition to reflect the purchaser’s ownership, products, clients, transaction flows, and risk profile. The entity has also been approved to access the Australian Government Document Verification Service (DVS) for identity-verification purposes.
  • Financial Position: The entity has no known debt, creditors, contingent liabilities or litigation. There are no ongoing monthly operating expenses, other than applicable annual ASIC fees.

This AUSTRAC-registered entity represents an acquisition opportunity for crypto businesses, fintech companies, remittance providers, payment service providers and international groups seeking an operationally ready Australian structure with dual registrations, established banking relationships and no known debt or legacy transaction history.
