  • Operational Status:  The company is operationally ready from a governance, compliance and regulatory perspective but has not yet commenced servicing clients or conducting investment activities.
  • Governance and Management: The entity is supported by experienced directors and an FSCA-approved Key Individual with expertise in financial services, banking, investment management, financial markets, governance and regulation. Subject to mutual agreement, the existing directors and Key Individual are willing to remain during a transition period.
  • Compliance Framework: A comprehensive governance and compliance framework is in place, including AML/CFT and KYC procedures, a Compliance Management Framework, Compliance Monitoring Programme, Risk Management Framework, Conflict of Interest Policy, Complaints Resolution Policy, Treating Customers Fairly framework, POPIA Policy, Business Continuity Plan and operational-risk controls.
  • Banking Infrastructure: An operational business bank account has already been established. Client segregated trust accounts have not yet been opened as the entity has not commenced client operations, and it may be established when required.
  • Regulatory Capital:  The entity complies with the applicable FSCA financial-resource requirements and currently maintains regulatory capital above the prescribed minimum.
  • Financial Position: The company has no known debt, borrowings, litigation, contingent liabilities, regulatory penalties or historical client claims.
