• Regulatory Capital

– Cayman SPC: The entity currently holds USD 50k in capital.

– BVI  Investment Manager: The entity currently holds USD 50k in capital. 

• Banking Infrastructure: Operational and client-funds bank account arrangements are in place with IRace Digital (formerly known as FundBank). 
• Compliance Framework: AML/KYC and related compliance arrangements are in place through the entity’s legal firm, which has appointed a Compliance Officer to the Investment Manager and Fund.
• Financial Liabilities: The entities have no outstanding debt or other disclosed financial liabilities. 
• Operating Expenses:

– Cayman SPC: Approx. USD 3k per month. 

– BVI Investment Manager: Approx. USD 1.2k per month. 

The acquisition provides a turnkey combination of an established BVI Investment Manager and Cayman Islands SPC fund, with existing regulatory, banking and compliance infrastructure. The structure offers statutory portfolio segregation and asset ring-fencing alongside an established investment management platform, potentially saving significant time and costs compared with establishing a new regulated structure.
